IMPORTANT: Tally.Legal S.A.P.I. de C.V. (“Tally,” “Tally Legal,” “Tally Global,” “we,” or “us”) is a technology platform that facilitates the creation of corporate documents and coordinates services through a network of independent strategic partners (“Strategic Allies”), including notaries, accountants, customs brokers, financial institutions, and other licensed professionals. Tally is not a law firm, does not practice law, and does not provide legal advice or legal representation. All specialized services are performed by independent, licensed third-party professionals.
PLEASE READ THIS AGREEMENT CAREFULLY. IT ESTABLISHES THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE SERVICE.
The Service is provided by Tally.Legal S.A.P.I. de C.V., with registered address at Calle Xola 1106, Col. Narvarte Poniente, Benito Juárez, Mexico City, C.P. 03020, Mexico. Tax ID (RFC): TLE1909129X8.
These Terms and Conditions govern the use of the platform by any individual or entity and their representatives. By approving these Terms, you acknowledge that you have read and accepted them in their entirety and understand that they are legally binding. If you do not agree, you must refrain from using our platform.
1. Description of the Service
Tally Global is a technology platform designed to facilitate the process of incorporating Mexican legal entities and coordinating related operational services for foreign individuals and companies seeking to enter the Mexican market.
The platform collects information provided by the user and channels the execution of services through independent third-party specialists (“Strategic Allies”), such as notaries public, tax consultants, customs brokers, regulatory specialists, financial institutions, and corporate advisors.
Nature of the Service: Tally acts exclusively as a technology platform and coordinator. Tally does not practice law, does not provide legal advice, does not act as your attorney or legal representative, and does not provide accounting, tax, customs brokerage, or financial services directly. All such specialized services are provided by independent, licensed third parties. Any information provided by Tally through its website, customer service channels, emails, calls, forms, or any other means is for general informational and reference purposes only and should not be considered personalized legal, accounting, or tax advice. Users are encouraged to consult with independent licensed professionals for specific advice tailored to their circumstances.
2. Services Offered
Through our platform and Strategic Allies network, Tally coordinates the following services:
- Company Formation: Coordination of Mexican entity incorporation (S.A. de C.V., S.A.P.I. de C.V., S. de R.L. de C.V.) through licensed notaries public, including RFC registration and eFirma procurement with SAT.
- Import Advisory: Guidance on import requirements, Padrón de Importadores registration assistance, tariff classification advisory, NOM labeling coordination, and connection with licensed customs brokers. Tally does not perform customs clearance or import operations directly.
- Regulatory Compliance Coordination: Coordination of COFEPRIS registrations, NOM certifications, and sanitary permit applications through specialized regulatory partners.
- Banking Coordination: Facilitation of bank account opening processes with partner financial institutions. Tally is not a financial institution and does not provide banking services.
- Accounting & Tax Coordination: Coordination of monthly bookkeeping, tax filing (ISR, IVA, DIOT), and fiscal compliance through licensed accountants in our partner network.
- Marketplace Onboarding: Assistance with Amazon Mexico and Mercado Libre seller account setup and configuration.
- Trademark Coordination: Coordination of trademark registration applications through IMPI via licensed intellectual property specialists.
- Immigration Coordination: Coordination of visa and residency applications through immigration specialists.
3. User Eligibility
The Service is available to any individual who is eighteen (18) years of age or older, whether national or foreign, with legal capacity. Minors and incapacitated persons may only contract services through legally designated guardians.
4. User Responsibilities
- Provide accurate, complete, and truthful information through the platform.
- Respond to information requests within the timeframes indicated.
- Review and approve documents within the deadlines communicated.
- Make payments in accordance with the agreed terms.
- Comply with all applicable laws and regulations in their jurisdiction.
5. Limitation of Liability
Tally’s liability is limited to the coordination and facilitation role described herein. Specifically:
- Tally does not guarantee the approval of any government application, including company name reservations, RFC registrations, COFEPRIS permits, Padrón de Importadores registrations, trademark applications, or visa requests. These decisions rest solely with the corresponding government authorities.
- Tally is not responsible for processing times of any government authority (SAT, COFEPRIS, IMPI, INM, Secretaría de Economía, or any other).
- Tally is not responsible for services performed by Strategic Allies. Each Strategic Ally operates independently and is solely responsible for their own work product, professional obligations, and compliance with applicable regulations.
- Tally is not responsible for decisions made by users regarding entity type selection, product import viability, regulatory strategy, or any other business decision. Users are encouraged to seek independent professional advice.
- The choice of legal entity type, fiscal regime, import strategy, and regulatory approach is the sole responsibility of the user.
6. Fees and Payment
Service fees are published on the platform and may be updated periodically. Payment terms are agreed upon at the time of service engagement. Some services may require advance payment. Fees paid to Strategic Allies (notaries, customs brokers, accountants, government fees) are separate from Tally’s platform fees and are quoted transparently before engagement.
7. Intellectual Property
All content, software, trademarks, and intellectual property on the Tally Global platform are the property of Tally.Legal S.A.P.I. de C.V. or its licensors. Users may not reproduce, distribute, or create derivative works without prior written authorization.
8. Privacy
Your personal data is processed in accordance with our Privacy Policy and Mexico’s Federal Law for the Protection of Personal Data Held by Private Parties (LFPDPPP). By using the platform, you consent to the collection, use, and transfer of your data as described in our Privacy Policy, including the transfer of your information to Strategic Allies as necessary to provide the services.
9. Recordings
Virtual sessions, calls, video calls, and communications with Tally may be recorded for quality assurance, training, and service improvement purposes, in compliance with Articles 4 and 6 of the LFPDPPP. The user consents to such recordings by using the Service.
10. Termination
Either party may terminate the service relationship at any time. In case of termination, the user remains responsible for payment of services already rendered. Tally reserves the right to terminate services without prior notice in cases of user fraud, misrepresentation, or violation of these Terms.
11. Dispute Resolution
These Terms are governed by the laws of the United Mexican States. Any dispute arising from these Terms shall be resolved before the competent courts of Mexico City, with both parties expressly waiving any other jurisdiction that may apply by reason of their present or future domicile.
12. Modifications
Tally reserves the right to modify these Terms at any time. Modifications become effective upon publication on the platform. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
